Bajaj Holdings Investment (‘BHIL’ or ‘the Company’) is registered with the Reserve Bank of India as a Non-Banking Financial Company - Investment and Credit Company (NBFC - ICC). BHIL is essentially a holding and investment company and does not have any other operations of its own.Considering the Company not having any operations, other than investment activities with no customer interface or access to public funds, the Board at its meeting held on January 20, 2025, has approved the conversion of Company into an Unregistered CIC. The conversion is in line with the Company’s strategic objective of becoming a group investment holding company. The recategorization of the Company from a NBFC-ICC to an Unregistered CIC will be subject to sale of non-group investments, followed by an application to RBI for conversion into an Unregistered CIC.Bajaj Holdings Investment - erstwhile Bajaj Auto was de-merged as per Order dated December 18, 2007 of the Hon'ble Bombay High Court, whereby its manufacturing undertaking has been transferred to the new Bajaj Auto (BAL) and its strategic business undertaking consisting of wind farm business and financial services business has been vested with Bajaj Finserv (BFS). All the businesses and all properties, assets, investments and liabilities of erstwhile Bajaj auto, other than the manufacturing undertaking and the strategic business undertaking, now remain with Bajaj Holdings Investment.Post-demerger, the company holds more than 30% shares each in Bajaj Auto and Bajaj Finserv. Going forward, the company will focus on new business opportunities. Bajaj Auto and Bajaj Finserv will be able to tap (on an arm's length basis) into company's cash pool to support future growth opportunities. BHIL by having over 30% stake in both Bajaj Auto and Bajaj Finserv will benefit from the future growth of these companies.The company has been registered as a Non-Banking Financial Company (NBFC) on October 29, 2009 with Reserve Bank of India (RBI). The Company is classified as a 'Systemically Important Non-deposit taking NBFC' as per RBI Regulations.Business areaBajaj Holdings Investment is engaged in the business of investment in securities out of its own funds and does not undertake any manufacturing activity.
